AIMS AND OBJECTIVES:

  1. To organise the UCO bank Retirees from any of the UCOBank offices in Karnataka and other states and foster a spirit of cooperation, comradeship, spirited decorum among all the retirees from UCO bank offices in Karnataka
  2. To Coordinate the activities of UCOBank Retirees for improvement of status and position
  3. To cooperate and federate with various organisations having similar objects in India and Abroad
  4. To obtain information in reference to banking industry in India and abroad.

The Secretary is authorized to correspond with the Registrar of societies

RULES AND REGULATIONS OF THE ASSOCIATION:

Membership:

  1. Admission:
    1. The Signatures of the Memorandum of Association, shall be the first members of the Association
    2. The governing Body may admit to membership any employee who has retired from any office of UCO bank of Karnataka or now residing within the State of Karnataka and agreed in writing to be bound by the memorandum of Association and Regulations of the Association and who in the opinion of the Governing Body will be interested in advancement of the objects of the Association.
    3. The Claimant / beneficiaries of the Family pensioners may also ne admitted as “Associate Members”
  2. Types of Membership:
    1. Ordinary Member: any person, qualified to be a member andpaying prescribed admission fee of Rs 10/-,initial donation of Rs 250/- and annual subscription of Rs 250/- may be admitted as Ordinary member of the Association.
    2. Associate Member: Claimants /beneficiaries of the family pensioners may also be admitted as an Associate member by collecting an admission fee of Rs 10/- initial donation and annual subscription of Rs 100/-
  3. Membership Register:

    A Register showing the names, address, occupation, date of admission and certain other particulars regarding the Pensioner members shall be maintained at the Office of the Association. The Register will be kept open for inspection of the members on requisition

  4. Books of Account -Inspection thereof:

    The Books of Account and other statutory shall be kept at the Registered office of the Association and shall be open for inspection of the members of the managing committee during office hours and other members on written request.

  5. Cessation of Membership:
    1. On his/ her resignation from membership by a letter addressed to the ho. Secretary, subject to its acceptance by the Governing Body.
    2. Non Payment of subscription for more than 2 years. He or she may however, continue his / her membership on payment of subscription up to date including arrears.

Expulsion of (A) Member(s)

Any action of the member(s) if found by the governing Body as detrimental to the interests and its violation of rules and Regulations of theAssociation, he or she may after due enquiry, censured or suspended or expelled from the membership of the governing Body.In that case the governing Body shall first serve the member(s) concerned with a show cause showing therein the charges framed and ask him/her statement of defense within a month. On receipt of the explanation the governing Body shall have the power to take suitable action against the delinquent member after allowing him/her to defend his/her action. If no reply to the show Cause notice is received within a month, the Governing Body may take ex-parte decision. For any act of expulsion or termination no member shall be entitles to prefer any claim for the compensation. The decision of the Governing Body shall be final and binding.

Rights and Obligations of Members

  1. Any Ordinary member of the Association has the right to elect and be elected in the election of the Association
  2. To vote at the General body meeting (voting shall be conducted by secret ballot or by show of hands) by the Ordinary member
  3. Tosubmit suggestions for discussion to the governing Body and sub-committee on any matter relating to Association
  4. To inspect the accounts and the proceedings of the meetings of themeetings of the Association on appointment with the Hon.Secretary.
  5. To pay his/her subscription within the prescribed time. Defaulting members shall stand debarred to take part or vote in the meetings. Members shall have one vote each.

GOVERNING BODY:

  1. Term of Office:

    There shall be a governing Body consisting of not more less than and not more than 15 members. The office of the governing Body shall comprise of the President, Vice president, Secretary, Treasurer and Five committee members. The office bearers and other Committee members shall be elected / selected at the General Meeting for the period of three years.

    The resignation and removal of the governing Body members shall be dealt with as has been prescribed as in the case of other members noted hereinbefore.

    The terms of office of the governing Body shall ordinarily three years,unless it is dissolved/terminated early under unforeseen circumstances. After election the oldgoverning Body will cease to function and newly elected governing Body should take the charge. However, under no circumstances the handing over the charge to newly elected governing Body by the old governing Body should not exceed 30 Days from the date of election.

  2. Meetings:

    A meeting of the Governing Body shall be held once in three months (quarterly) at the Registered office of the Association or ant such place, date and time as the president or th Secretary may determine. Any five members of the governing Body may requisition the meeting and the Secretary shall summon the same within seven days and failing which the president or the reductionists may do so provided no business other than specified in the notice be transacted at such meeting.

  3. Meeting Notice and Quorum:

    Seven days’ notice of the meeting specifying the place, time and general nature of business to be transacted, shall be given to each member of the Governing Body. Emergency meeting may be called on 24 hours’ notice. Five members personally present shall constitute the quorum of the meeting and if a quorum is nit present within 45 minutes of the time, members present shalladjourn the meeting. Adjourned meeting required no quorum.

  4. Procedure at the Meeting:

    The President or inhis absence the Vice President shallpreside over the all the meetings of the Governing Body and in the absence of both of them the members present shall elect a Chairman for the meeting. All questions before the meeting will be decided by a majorityof the votes, each member having one vote. The President or the Chairman shall have a second or casting vote in case of an equal division of votes.

  5. Power and duties of the governing Body:

    The Governing Body shall have the General Power of supervision and conduct over all affairs of the Association an in particular shall discharge the following duties:

    1. To appoint a Sub-Committee with such power and duties as may be considered necessary or expedient.
    2. To accept donation, gift, subscription,movable or immovable property for the objects of the Association.
    3. To keep proper accounts of the Association, and to open Bank accounts in the name of the Association in one or more banks. The account shall be operated JOINTLY by the President / Secretary / Treasurer.
    4. To appoint a person or persons on nominal payment to assist the Secretary / Treasurer for maintenance of accounts etc., if necessary, temporarily / part time.
    5. To conduct any other business not specified herein for the attainment of the subject of the Association provided such business in not repugnant to subjects of the Association.
    6. Account year: the accounting year of the Association shall be the 1st April to 31st
    7. Safe Custody of Properties: The governing Body shall be responsible for the sage custody of funds,properties and assets of the Association. The funds of the Association shall be kept in any branch of UCOBank at Bangalore.

General Meetings:

The business to be transacted at the General Meeting shall

  1. To Confirm the Minutes of the last General Meeting and special General meeting if any.
  2. To adopt with or without modification the Report of the Working of th Association for the previous year.
  3. To pass audited accounts of the Association for th Financial year
  4. Toappoint a qualified auditor
  5. To conduct election to the governing Body and Representatives to the apex Body if any when due.
  6. To transact such other business as may be brought forward by giving 14 days notice from the member.

Manner and method of Voting:

The Chairman of the Meeting shall decide the manner and the method of voting at the outset of the meeting.

Special General Body meeting;

A special General meeting may be convened by the governing Body at anu time in view of the urgency of the matter. At least 7 days’ notice shall be given to every member for the Special meeting.

Members may request th governing Body for special General meeting placing a requisition signed by one third of the total members. In that case the Governing Body shall convene a Special meeting within a month from the receipt of such notice. In case of default by the Governing Body the requisitionists shall hold such meeting provided no business other than those specified in the notice shall be transacted.

Duties of the Office bearers:

President:

  1. Preside over meetings of the Association
  2. Take all disciplinary actions such as removals, dismissal, etc. in consultation with the Governing Body.
  3. Advice the Hon Secretary in any matter requiring urgent attention.
  4. Call for emergent meeting(s).
  5. Operate the account jointly with theTreasurer.

Vice President:

I the absence of the President shall perform all the duties of the President.

Secretary:He shall

  1. Call all meetings of the Association.
  2. Maintain minutes book of all Meetings.
  3. Issue General circulars and Notices
  4. Receive all applications for membership which shall be placed before the Governing Body.
  5. Sign jointly with the Treasurer on behalf of the association all receipts for all sums received as subscription etc.
  6. Sign jointly with the Treasurer Cheques for payments of all bills, vouchers etc.
  7. Get the accounts of Association audited by a Chartered Accountant.
  8. Ensure compliance with statutory requirements.
  9. Transact all other business subject to the direction of the Governing Body.

Treasurer: He shall;

  1. Collect and receive all sorts of subscriptions, donations and deposit of money and grant receipt thereof, under joint signatures with the Hon. Secretary.
  2. Maintain and keep cash bank and such other accounts as are necessary.
  3. Operate Bank account jointly with the Hon. Secretary/President.

Maintenance and Audit of Accounts:

The Association shall maintain books of accounts as required. The Accounts shall be audited by a duly qualified auditor annually.

Suit and Legal proceedings:

All suits and legal proceedings by or against the Association shall be in the name of the Secretary or such person as shall be appointed by the Governing Body.

Alteration of Memorandum &Regulations:

The Memorandum and Regulations may be altered, modified rescinded or added to by special resolutions passed by three fourth members in a General Meeting called for the purposes.

The Governing Body shall have powers to make, alter modify or rescind such Bye-laws and rules as may be considered necessary in the interest of smooth functioning of the Association.

Amendments:

Special General Body Meeting held on 18th August 2002.

  1. Existing Provision :

    Annual General Body Meeting: The Hon. Secretary shall call the Annual General Meeting within 2months from the end of last financial year giving atleast 21 days’ notice to all members. The notice shall contain the place, date and time

    The Hon. Secretary shall convene a General meeting annually (instead of triennially as at present). However, the item of the agenda relating to the conduct of the elections to the Governing body will be included in the agenda of the general meeting only once in three years.

    The Hon. Secretary shall annual convene a general meeting of all the members within three months from the date of last financial year giving atleast 21 days’ notice to all members.

  2. Types of Memberships :
    1. Ordinary Member : Any person, qualified to be a member and paying prescribed admission fee of Rs 10/- initial donation of Rs 250/- and annual subscription of Rs 250/- may be admitted as Ordinary member of the Association.
    2. Associate Member: Claimants /beneficiaries of the family pensioners may also be admitted as an Associate member by collecting an admission fee of Rs 10/- initial donation and annual subscription of Rs 100/-

New Proviso:

Life Membership: Any person qualified to become a member and paying the prescribed admission fee of Rs.25 one time Life Membership Fee of Rs. 2,500 may be admitted as Life Member of the Association.

Associate Membership: Claimants/beneficiaries of the family pensioners may be admitted as Associate Life Membership. The one time subscription for such type of members will be Rs. 1,250 to be paid at the time of admission along with admission fee of Rs. 25.

Co-option to Governing Body:

New Proviso:

In the event of demittingof office by a Principal Office bearer due to resignation/death or otherwisethe Governing Body will co-opt a member from within the Governing Body initially and/or outside the Governing Body if suitable candidate is not available within the Governing Body for the post so vacated. The co-opted office bearer will hold office till the next General Body meeting where elections are held.

Amendment to life membership in General Body meeting held on 26-8-2012:

As amended

Life membership: Any person qualified to become a member on or after 1-12-2012 and paying the one time life membership fee may be admitted as a life member of the Association. No separate admission fee is to be levied.

  1. Associate membership: Spouses of the retired employees of the Bank may also to be admitted as an Associate Life Member. No separate admission fee is to be levied. The following conditions shall apply.
  2. In case the deceased retired employee was already a member of association by payment of the requisite fee prescribed at the time of his/her admission the surviving spouse you wishes to be admitted to the association shall not have to pay any life time fee at the time of admission.
  3. In case any retired employee was not a member of the association, the surviving spouse who wishes to be admitted, can be admitted to the association as an associate life time member by payment of Rs. 2,500 one time life time fee

Amendment in Special General body dated 06/09/2014

Types of Membership:

Ordinary Member: any person, qualified to be a member and paying prescribed admission fee of Rs 10/-,initial donation of Rs 250/- and annual subscription of Rs 250/- may be admitted as Ordinary member of the Association

Amendment:

The nomenclature of Ordinary member to be changed from Ordinary Member to “Life Time Member”

New Proviso:

The Association may donate funds to sister organisations or any other organisation that is working for the welfare of the Retired employees in UCOBank or any other organisation that the Association may get affiliated
